Terms of Service

These Terms of Service ("Terms") are an agreement between you and Neural Studio, Inc., a Delaware corporation ("Neural Studio," "we," "us," or "our"), and govern your access to and use of the Neural Studio website, platform, applications, APIs, cloud workspaces, compute resources, and related services (collectively, the "Services").

By creating an account, checking a box or clicking a button indicating acceptance, purchasing a subscription, or otherwise using the Services after these Terms are presented to you, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services for a company, university, laboratory, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials, for activity that occurs through your account, and for promptly notifying us if you suspect unauthorized access.

Authentication may be provided using Amazon Cognito or other authentication services. You may not share credentials or use another person's account without permission.

2. The Neural Studio Service

Neural Studio provides software and infrastructure tools for machine-learning development. Depending on the features available to your account, the Services may include:

• cloud-based development environments and notebooks;
• CPU and GPU provisioning and access;
• experiment tracking and related metadata;
• file, artifact, checkpoint, dataset, and model storage;
• software environment and dependency management;
• collaborative workspaces and invitations;
• integrations with third-party cloud and software services; and
• other development, infrastructure, and machine-learning functionality made available by Neural Studio.

The Services are evolving. Features may be added, modified, limited, or discontinued, and some features may be identified as beta, preview, experimental, or early access.

3. Subscriptions, Automatic Renewal, and Cancellation

Paid subscriptions are offered on the pricing terms shown to you before purchase. Unless the checkout page clearly states otherwise, a monthly subscription renews automatically each month until you cancel.

Before you subscribe, we will disclose the recurring subscription price, billing frequency, how to cancel, and any other material renewal terms. By affirmatively purchasing the subscription, you authorize Neural Studio and its payment processor to charge the payment method you provide for the recurring subscription price, applicable taxes, and any separately authorized usage-based charges.

You may cancel an online subscription online through the cancellation method made available in your account or the Services. Cancellation stops future renewals and ordinarily takes effect at the end of the billing period you have already paid for.

After enrollment, we may provide an electronic acknowledgment of your subscription and cancellation information. If applicable law requires advance renewal notices, renewed consent, or additional disclosures, we will provide them.

Except where required by law or expressly stated at purchase, subscription fees are non-refundable. If we offer a free or discounted trial, the offer presented to you will state when paid billing begins and how to cancel before a charge occurs.

4. Compute, Storage, and Other Usage Charges

Certain features are billed based on consumption, including GPU or CPU time, storage, networking, or other infrastructure usage ("Usage Charges"). Usage pricing or the method used to calculate it will be made available in the Services before or when you request the applicable resource.

Usage Charges may be charged as incurred, billed in arrears, or deducted from prepaid credits, depending on the billing method shown in the Services.

You are responsible for monitoring resources associated with your account or workspace. A compute instance, job, storage resource, or other billable resource may continue to incur charges until it is stopped, terminated, or deleted. Closing a browser window, disconnecting from a notebook, or becoming inactive does not necessarily stop the underlying resource.

Neural Studio may calculate usage using its own platform records, records supplied by the applicable infrastructure provider, or both. If you believe a Usage Charge is incorrect, contact us through the billing or support method provided in the Services as soon as reasonably possible.

Where available, budgets, alerts, idle-shutdown features, or spending controls are provided for convenience and do not eliminate your responsibility for monitoring usage.

5. Payments

Payment processing may be provided by Stripe. You authorize Stripe and Neural Studio to process charges you approve under these Terms and the purchase flow.

You are responsible for applicable taxes, except taxes imposed on Neural Studio's net income. We may suspend paid functionality if an amount remains overdue after reasonable notice, subject to applicable law.

6. Collaborative Workspaces

The Services may allow you to create workspaces and invite other users. Workspace owners or administrators may be able to manage membership, permissions, files, experiments, compute usage, and other workspace resources.

If you join a workspace controlled by another person or organization, the workspace owner or administrator may be able to access, modify, export, or delete content within that workspace. You are responsible for selecting appropriate permissions and understanding who has access before placing confidential or sensitive information in a shared workspace.

7. Your Content

"User Content" means source code, notebooks, datasets, files, model weights, checkpoints, artifacts, prompts, outputs, experiment information, configurations, and other content that you or your collaborators upload, create, store, transmit, or process using the Services.

As between you and Neural Studio, you retain your ownership rights in User Content. Using Neural Studio does not transfer ownership of your code, datasets, models, or other intellectual property to us.

You grant Neural Studio a non-exclusive, worldwide license to host, copy, transmit, process, display, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, troubleshoot, support, and operate the Services; to comply with your instructions; and to comply with law.

You represent that you have all rights and permissions necessary to submit User Content and to permit its processing through the Services. You are responsible for your User Content and for ensuring that your use complies with applicable law, licenses, confidentiality obligations, and third-party rights.

We may use aggregated or de-identified operational information that does not reasonably identify you or disclose your confidential User Content to understand and improve the reliability, performance, security, and usability of the Services.

8. Third-Party Infrastructure

Neural Studio uses third-party infrastructure to operate the Services and provide compute. Current infrastructure providers may include Amazon Web Services (AWS), Nebius, DigitalOcean, and Lambda Cloud.

When you request or use a resource, information and User Content reasonably necessary to provide that resource may be transmitted to or processed on the applicable provider's infrastructure.

Availability, capacity, geographic regions, hardware types, networking, and performance may vary by provider. Neural Studio does not guarantee that a particular GPU, provider, region, or resource will always be available.

You may not use the Services in a manner that causes Neural Studio or an infrastructure provider to violate applicable law, sanctions, export controls, or the provider's applicable acceptable-use requirements.

9. Sensitive and Regulated Data

Unless Neural Studio expressly agrees otherwise in writing, the Services are not designed or offered for storing or processing data that requires specialized contractual or regulatory safeguards, including protected health information subject to HIPAA, payment-card data subject to PCI DSS, classified information, or export-controlled technical data requiring special handling.

Do not submit such data unless Neural Studio has expressly approved that use in writing and all required agreements and safeguards are in place.

10. Acceptable Use

You may not use the Services to:

• violate applicable law, sanctions, or export-control requirements;
• infringe intellectual-property, privacy, confidentiality, publicity, or other rights;
• distribute malware, ransomware, viruses, botnets, or other malicious code;
• gain or attempt unauthorized access to systems, accounts, networks, or data;
• conduct phishing, credential theft, unauthorized exploitation, denial-of-service activity, or malicious scanning;
• send spam or operate abusive automated traffic;
• interfere with, overload, evade, or circumvent billing, quotas, rate limits, security controls, or technical restrictions;
• mine cryptocurrency unless Neural Studio expressly permits it;
• resell, sublicense, or provide the Services as a service bureau except with our written permission; or
• encourage or assist another person to do any of the above.

We may investigate suspected abuse and may restrict, suspend, or terminate access where reasonably necessary to protect users, the Services, infrastructure providers, or third parties.

11. Copyright, DMCA, and Repeat Infringers

You may not upload, store, transmit, distribute, make available, or otherwise use the Services in a manner that infringes or misappropriates copyrights or other intellectual-property rights.

Neural Studio may remove or disable access to material that we reasonably believe infringes third-party rights. In appropriate circumstances, we will terminate accounts of users who are repeat infringers. We may also restrict or terminate accounts for other repeated or serious intellectual-property violations.

Our Copyright & DMCA Policy describes how copyright owners may submit notices of claimed infringement and how users may submit counter-notifications. Users agree to cooperate with the procedures described in that policy.

12. Neural Studio Intellectual Property

Except for User Content and third-party materials, Neural Studio and its licensors own all rights, title, and interest in the Services, including software, interfaces, APIs, designs, documentation, trademarks, and proprietary technology.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. No other rights are granted by implication.

13. Feedback

If you voluntarily provide ideas, suggestions, or feedback about Neural Studio, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation. This does not give us ownership of your User Content.

14. Beta Features and Service Availability

Some features may be beta, preview, experimental, or early access. They may contain errors, change materially, experience interruptions, or be discontinued.

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Outages may result from maintenance, bugs, capacity shortages, infrastructure-provider failures, network failures, security events, or circumstances outside our reasonable control.

You should maintain independent backups of important code, data, models, and other User Content.

15. Security

We use administrative, technical, and organizational measures designed to protect the Services and information we process. No security measure is perfect, and we cannot guarantee that unauthorized access, loss, or misuse will never occur.

You are responsible for securing your account, workspace permissions, API keys, credentials, secrets, and devices.

16. Suspension and Termination

You may stop using the Services at any time and may cancel paid subscriptions as described above.

We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create a material security or infrastructure risk, use the Services unlawfully, cause us to violate an infrastructure-provider requirement, or if suspension is reasonably necessary to prevent material harm.

Where appropriate, we will attempt to provide notice and an opportunity to remedy the issue. Upon termination, your right to use the Services ends. We may provide a reasonable opportunity to export User Content where technically feasible and legally permitted.

17. Privacy

Our Privacy Policy explains how Neural Studio, Inc. collects, uses, discloses, and protects personal information. The Privacy Policy is incorporated into these Terms by reference to the extent applicable.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NEURAL STUDIO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure against every threat, compatible with every workload, or that any particular compute resource will remain available. Machine-learning outputs and results may be inaccurate or unsuitable for your intended purpose. You are responsible for evaluating your own workloads and results.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL STUDIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, MODELS, OR COMPUTING RESOURCES, ARISING OUT OF OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL STUDIO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO NEURAL STUDIO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

20. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Neural Studio and its affiliates, officers, employees, contractors, and suppliers from third-party claims, liabilities, damages, and reasonable costs arising from your User Content, your unlawful or prohibited use of the Services, or your material breach of these Terms. This section does not require a consumer to indemnify Neural Studio to the extent such an obligation is prohibited by applicable law.

21. Changes to These Terms

We may update these Terms as the Services, our business, or applicable law evolves. The revised version will state its effective date.

For material changes, we will take reasonable steps to notify affected users, such as by email, an in-product notice, or another reasonably conspicuous method. Where applicable law requires renewed consent, we will request it before the change applies.

Your continued use of the Services after a non-material update takes effect constitutes acceptance of the updated Terms to the extent permitted by law.

22. Electronic Communications

You agree that we may provide contracts, disclosures, notices, receipts, and other communications electronically, including through the Services or email. You may retain copies for your records. This consent does not limit any rights you have under applicable electronic-signature or consumer-protection laws.

23. General

These Terms, together with any purchase terms and policies expressly incorporated into them, constitute the agreement between you and Neural Studio concerning the Services.

If a provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, financing, restructuring, or sale of substantially all relevant assets.

Nothing in these Terms limits mandatory rights you may have under applicable consumer law.
